Laseo Inc. — Terms & Conditions (the “Terms”)

These Terms form a contract between you and Laseo Inc. (“Laseo”, “we”, “us”, or “our”). They govern your access to and use of our website (the “Site”), and the tools, content, features, and services we offer through it (collectively, the “Services”). Our Privacy Policy and Refund/Return Policy are incorporated by reference and together with these Terms form the entire agreement between you and Laseo. By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, do not access or use the Services.
1. Definitions & Overview
Design means any file, drawing, template, model, artwork, specification, or other physical or digital material you provide to Laseo (via the Site, email, API, physical shipment, or otherwise) for the purpose of obtaining our Services. You may submit Designs only if you hold, or have obtained, all rights and permissions necessary to use the Services for that Design (for example, your employer or client may own the intellectual property in work you created).
We may, in our sole discretion, deny or suspend access to the Site or Services to any person who (a) violates these Terms; (b) interferes with others’ use of the Site; (c) infringes the rights of others; or (d) otherwise, in our judgment, poses a risk to our business, reputation, community, or compliance obligations. Certain Services may be offered on an invite only or limited access basis. Any new features or tools added to the Services are subject to these Terms.
2. Services & Accounts
To place orders or access certain features, you must create an account. You are responsible for maintaining accurate, current account information and for all activity that occurs under your credentials. Keep your password secure and notify us immediately of any unauthorized use. You may request account deletion at any time by contacting support@laseo.ca (or the support address posted on the Site).
You represent and warrant that you are the age of majority in your province or territory of residence (18 in Québec) or have obtained the consent of your parent or legal guardian to use the Services. We may change eligibility criteria and refuse service at any time. You agree not to use the Services or any product we manufacture for any unlawful or unauthorized purpose and to comply with all applicable laws in your jurisdiction (including, without limitation, intellectual property laws, export/sanctions rules, and product safety laws).
3. Design Services
If you use our Design Services, we may create a digital file from your submitted drawing or physical template (the “Design File”). You retain your rights, if any, in your underlying Design. Laseo owns all rights in any Design File that we create, as our service output. We will use the Design File only to fulfill your orders or, if you choose, in connection with the Smart Catalog (defined below). We may keep an archive of the Design File as a courtesy but have no obligation to maintain, update, or retain that file beyond the initial order. We are not responsible for returning physical materials (e.g., templates) you send us.
4. Smart Catalog (Optional Service)
Our Smart Catalog allows account holders to list for sale parts manufactured by Laseo from their approved Designs. To enable Smart Catalog creator access, follow the opt in process on the Site and certify compliance with these Terms and any additional Smart Catalog terms.
You may list only products based on Designs you have the rights to use and for which you have purchased at least one copy for your own account. You may add images, descriptions, and other information that must comply with these Terms. You set the total customer price, which includes (i) our base manufacturing cost, (ii) Laseo’s markup (a fixed percentage), and (iii) your designer portion (the “Designer Portion”). Laseo will remit the Designer Portion for each sale after the applicable return period expires, typically within 60 days of the sale, via the payout methods we support (e.g., PayPal or other methods posted on the Site). You are responsible for maintaining an active payout account and for all taxes on your income.
We may review and reject Smart Catalog listings that violate these Terms or our Design Policy. We do not guarantee any minimum sales or revenue and provide no warranty regarding demand for your listed products. All Smart Catalog purchases are subject to these Terms, including Ordering & Shipping, Cancellations & Refunds, Errors, Inaccuracies & Omissions, Disclaimer of Warranties; Limitation of Liability, and Indemnification.
5. Personal Information & Privacy
Your submission of personal information through the Services is governed by Laseo’s Privacy Policy. Laseo is subject to applicable Canadian privacy legislation, including PIPEDA and Québec’s “Law 25”, where applicable. Among other rights, you may have the right to request access to and correction of your personal information. For details, see our Privacy Policy or contact privacy@laseo.ca.
6. Intellectual Property Rights
You retain ownership (if any) of the intellectual property in your original Designs. By uploading or otherwise providing a Design, you grant Laseo a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and manufacture from the Design solely to (a) evaluate and fulfill your orders, and (b) if you opt in, manufacture and sell products through the Smart Catalog. If we wish to display your finished parts or Design for marketing (e.g., on the Site, social media, or advertising), we will request your permission unless such display falls under fair dealing or other applicable exceptions.
You are solely responsible for ensuring that your Design and your use of the Services do not infringe any third-party rights, including under Canada’s Copyright Act, Trademarks Act, and Patent Act. We may delay or cancel an order we reasonably believe is unauthorized, infringing, or otherwise unlawful, and we may suspend or terminate accounts that repeatedly infringe. Laseo welcomes feedback about our Services. You grant Laseo a worldwide, royalty-free, perpetual, irrevocable license to use and incorporate feedback you provide without obligation to you.
7. Design Policy (Prohibited Uses)
By providing a Design, you certify that it meets all of the following:
- Complies with law. It does not violate any applicable law or regulation (federal, provincial/territorial, or municipal).
- Is lawful content. It does not contain abusive, harassing, threatening, defamatory, obscene, fraudulent, deceptive, or otherwise unlawful content.
- Respects IP. It does not infringe intellectual property rights (including copyrights, trademarks, trade secrets, industrial designs, or patents).
- Avoids regulated items. It is not intended for use as firearms, prohibited devices, weapons/weapon parts, controlled goods, or items subject to export/import controls or sanctions (unless you have provided acceptable proof of authorization); nor drug paraphernalia or devices for illegal use; nor items for hazardous, mission-critical, or fail-safe applications where product failure could result in death, injury, or severe damage.
- Meets our technical requirements. It complies with our published design guidelines and manufacturability limits posted on the Site.
We may contact you within a reasonable time after order submission if we have concerns about your Design. We may refuse or cancel any order at any time. If cancellation occurs before production, we will refund your payment. If cancellation occurs after production starts, refunds may be limited or unavailable.
8. Ordering Process & Shipping
Ordering. To place an order, create an account and upload a compliant Design in an approved file format, select materials and options, and confirm your order. You are responsible for file accuracy (including units, scale, tolerances), material/finish selections, and quantities. We manufacture parts to your specifications and selections; we do not warrant suitability for any particular application.
Order confirmation & changes. After checkout you will receive an email confirmation. Review it promptly and contact orders@laseo.ca with any issues. We will try to accommodate changes, but once production begins (often within a few hours), changes to the Design, material, finish, or quantities may not be possible.
Territories. We currently ship within Canada (as posted on the Site). Restrictions may apply to remote locations or export-controlled items.
Shipping & risk of loss. We ship to the address you provide and will provide tracking once packaged and labeled. We are not responsible for carrier delays or damage after shipment; however, we will work with you to remedy damaged or lost shipments where commercially reasonable. For consumer purchases delivered in Québec, risk of loss and title transfer follow applicable consumer law and, where required, Laseo bears the risk until delivery to you. For all other purchases, title and risk of loss transfer to you when we deliver goods to the carrier.
Inspection. Please inspect your parts upon delivery. Report issues within 10 days of receipt with photographs and a description so we can assess remedies under our Refund/Return Policy.
9. Pricing, Taxes & Payment
Unless stated otherwise, prices are in Canadian dollars (CAD) and include materials and standard manufacturing. Shipping, taxes, duties, and other charges are extra unless expressly stated. Applicable GST/HST and QST/TVQ (and any other applicable taxes) will be charged based on your shipping address and the law. We may change pricing to reflect material/commodity costs; price changes do not affect completed orders or orders already in production. Coupon codes are subject to posted rules; fraudulent use may result in cancellation and/or account suspension.
We accept major credit cards and other payment methods listed at checkout. You agree to provide current, complete, and accurate payment and account details and to promptly update them. If you believe there is a billing error, contact billing@laseo.ca within 30 days of your order; we will investigate and, if applicable, issue a credit to your original payment method or account credit.
10. Cancellations, Returns & Refunds
Cancellations. Orders cannot be cancelled once production has begun. We may, at our discretion, offer account credit or discounts in limited circumstances.
Returns/Refunds. Because parts are custom, returns and refunds are evaluated case by case under our Refund/Return Policy. Do not ship parts back unless requested. You may be required to return parts at your expense for evaluation. Your statutory rights (including any non-waivable legal warranties) remain in force where applicable.
11. Acceptable Use of the Site
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services or any contact on the Site through which the Services are provided, without our express written permission. You also agree not to (a) interfere with or disrupt the Site, (b) attempt to gain unauthorized access, (c) use scraping, data mining, or similar methods without consent, or (d) misrepresent your identity or affiliation.
12. Third Party Links & Services
The Site may contain links to third-party websites, services, or materials that are not affiliated with Laseo. We are not responsible for examining or evaluating, and we do not warrant, the offerings of third parties and have no liability for third-party materials, products, services, or websites. Review third-party terms and policies before engaging in any transaction with them.
13. Errors, Inaccuracies & Omissions
From time to time, information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct errors or omissions and to change or update information or cancel orders if any information in the Services or on any related website is inaccurate at any time without prior notice (including after you have submitted your order), except as limited by applicable law.
14. Disclaimer of Warranties; Limitation of Liability
General. Your use of the Services is at your sole risk. Except as expressly stated, the Services and all products provided through the Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties or conditions of any kind, whether express, implied, or statutory, including implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and non-infringement.
Manufacturing output. Laseo warrants only that the items we manufacture will substantially conform to the specifications in your Design (subject to our published tolerances and the limitations of the selected manufacturing processes). You are solely responsible for the design, specification, and performance of the item you commission. Laseo does not warrant that the item will be suitable for any particular use, including safety-critical uses.
Limitation of liability. To the fullest extent permitted by law, in no event will Laseo, its directors, officers, employees, affiliates, agents, contractors, suppliers, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, revenue, savings, data, or replacement costs) arising out of or related to the Services or products, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages. Our aggregate liability to you for all claims relating to the Services or products will not exceed the greater of: (a) CAD $100; (b) the price you paid for the item and its original shipping costs; or (c) the amount you paid to Laseo for the relevant order.
Québec consumer protection notice. Nothing in these Terms limits your rights as a consumer under the Civil Code of Québec or the Consumer Protection Act (Québec). For consumer contracts governed by those laws, any disclaimer or limitation that is prohibited by law does not apply to you.
Force majeure. We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, epidemics, war, terrorism, labour disputes, supply chain failures, utility outages, or network/communication failures.
15. Indemnification
You agree to indemnify, defend, and hold harmless Laseo and its affiliates, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Services or Site content; (c) the manufacture, sale, distribution, or use of products based on your Designs (by you or any third party); (d) infringement or violation by you (or anyone using your account) of any intellectual property or other right; or (e) your violation of any law or the rights of a third party.
16. Export Controls & Sanctions
You agree to comply with all applicable export, import, and sanctions laws of Canada, the United States, and any other applicable jurisdictions. You will not provide Designs or request products that would cause Laseo to violate such laws, and you will not transfer products to any prohibited end user or for any prohibited end use.
17. Changes to the Services or Terms
We may update, change, or replace any part of the Services or these Terms by posting updates on the Site and, where required by law, by providing additional notice (e.g., email). Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. The current version will be posted with the “Last updated” date above.
18. Notices; Electronic Communications
You consent to receive communications from us electronically (e.g., via the email associated with your account or by notices posted on the Site). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
19. Governing Law & Venue
These Terms and any disputes or claims arising out of or relating to them or the Services are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Subject to any mandatory consumer jurisdiction rules, the parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Québec, judicial district of [Montréal or other district to be designated], for all disputes.
Language. The parties have expressly requested that these Terms and all related documents be drawn up in English and French. Les parties ont expressément exigé que les présentes modalités et tous les documents s’y rattachant soient rédigés en anglais et en français.
20. Entire Agreement; Severability; Assignment; No Waiver
These Terms, together with policies incorporated by reference, are the entire agreement between you and Laseo concerning the Services and supersede all prior or contemporaneous communications and proposals (oral or written). If any provision is held unlawful, void, or unenforceable, that provision will be deemed severed to the extent necessary and will not affect the validity and enforceability of the remaining provisions. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; any attempt to do so is void. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
